1. Acceptance of Terms

By accessing, browsing, or using the website located at https://doxmitra.online and associated subdomains, tools, APIs, and portals (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you do not agree with any portion of these Terms, you must immediately discontinue using our Service. If you are entering into these Terms on behalf of a trade company, LLC, or organization, you represent that you have the authority to legally bind that entity.

2. Description of the Service

DoXMitra provides online document preparation tools tailored for field tradesmen, contractors, and small businesses. Capabilities include:

• Free Tier: Zero-signup invoice makers, receipt generators, work order templates, and estimate builders with local browser-side persistence.
• DoXMitra Pro Subscription: Tamper-evident electronic signatures, client signing portals, automated payment reminders, WhatsApp delivery links, multi-device Supabase cloud sync, Google Drive automated backup, and unlimited catalog presets.
• Global Tax Localization: Built-in regional presets (US Sales Tax, Canadian GST/HST, UK VAT, Indian GST with HSN codes, Australian GST with ABN, and European MwSt/TVA/IVA).

3. Zero-Signup Usage & Cloud Accounts

3.1 Free Usage Without an Account: You may use DoXMitra without registering an account. In this mode, document drafts and profile preferences are saved directly to your local device browser storage (localStorage). DoXMitra does not claim ownership or store your unauthenticated drafts on central servers.

3.2 Cloud Sync & Google OAuth: When you connect via Google OAuth or create an account, your documents, profiles, and templates sync with Supabase and Google Drive. You are responsible for safeguarding your credentials and notifying us immediately of any unauthorized access.

4. Electronic Signatures (ESIGN & UETA Compliance)

DoXMitra provides electronic signature features engineered to comply with the United States Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001, "ESIGN Act"), the Uniform Electronic Transactions Act ("UETA"), and comparable international regulations (such as EU eIDAS and India IT Act 2000).

• Intent & Consent: Both parties consent to conduct business electronically. When a client or contractor signs, an immutable audit trail record is generated containing timestamp, signer name, signature image, and cryptographic audit hash.
• Legal Enforceability: While DoXMitra provides audit-trailed execution records, you are solely responsible for ensuring that the underlying agreement (e.g. mechanics lien disclosures, local contractor licensing terms) meets local jurisdiction requirements.

5. User Responsibilities & Tax Calculations

5.1 Accuracy of Invoicing: You are solely responsible for the information entered into your documents, including labor amounts, material costs, client addresses, and tax numbers (EIN, GSTIN, VAT, ABN).

5.2 Not Legal or Accounting Advice: DoXMitra provides formatting, calculation, and document tools. DoXMitra is not a certified public accounting firm, tax advisor, or legal counsel. Tax rates and suggestions are provided for convenience. You are responsible for consulting a qualified CPA or attorney to confirm compliance with your state, province, or national revenue authorities.

5.3 Prohibited Uses: You agree not to use the Service to generate fraudulent invoices, forge receipts for unauthorized tax deductions, transmit abusive or defamatory material, or attempt to circumvent authentication systems or access controls.

6. Subscriptions, Billing & Cancellation

6.1 DoXMitra Pro: Access to certain premium features (such as automated recurring dispatch, remote signing links, and unlimited line item catalogs) requires a paid subscription or valid promotional upgrade.

6.2 Billing & Payment Processors: Subscription payments are processed securely through authorized Merchant of Record partners (including LemonSqueezy and Stripe). By subscribing, you authorize our payment processors to bill your chosen payment method on a recurring basis until cancelled.

6.3 Cancellation & Fair Refund Policy: You may cancel your subscription at any time directly from your billing portal or by contacting support. Your access to Pro features will remain active until the end of your prepaid billing period. If you experience technical defects or are unsatisfied within the first 14 days, you may request a full refund by contacting us at support@doxmitra.online.

7. Intellectual Property & Content Ownership

7.1 Your Content: You retain complete, unrestricted ownership of all documents, invoices, client contacts, line items, and logos you create or upload to DoXMitra. We do not sell your data, monetize your client lists, or display advertisements using your proprietary business information.

7.2 DoXMitra IP: The DoXMitra name, logo, software code, UI designs, and template styling are the intellectual property of DoXMitra and protected under applicable copyright and trademark laws.

8. Limitation of Liability

To the maximum extent permitted by applicable law, DoXMitra, its founders, directors, employees, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, client contracts, or business interruption, resulting from:

• Your use or inability to use the Service;
• Errors, omissions, or inaccuracies in tax calculations or document templates;
• Any unauthorized access to or alteration of your transmissions or data;
• Disputes between you and your clients regarding payment, work quality, or contract fulfillment.

In no event shall DoXMitra's aggregate liability exceed the total amount paid by you to DoXMitra in the twelve (12) months preceding the claim.

9. Third-Party Services

Our Service integrates with external platforms (such as Google Drive, Google OAuth, WhatsApp, and Resend). Your use of these third-party platforms is governed by their respective terms of service and privacy policies. DoXMitra is not responsible for the availability or conduct of third-party services.

10. Changes to Terms

We reserve the right to modify these Terms as our product evolves. When updates occur, we will revise the "Last Updated" date at the top of this page. Your continued use of DoXMitra following any changes signifies your acceptance of the updated Terms.
